HEAL EARTH CLUB LLC

Terms of Use and Membership Conditions

Effective October 30, 2026 · Last updated October 30, 2026

These Terms govern your use of Heal Earth Club’s website, browser extension, Roku client, and related services (the “Service”), operated by Heal Earth Club LLC (“we,” “us,” or “the Club”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service. Our Privacy Policy explains how we handle information.

1. Membership and accounts

You must be at least 18 and legally able to enter this agreement. Provide accurate account information, keep sign-in keys and device credentials secure, and notify help@heal.earth of suspected unauthorized access. Do not impersonate others, share access without authorization, or bypass access controls.

Membership provides access to features subject to these Terms and any additional rules we present. We may limit, suspend, or end access for violations, security concerns, legal obligations, or discontinuation of the Service, subject to applicable law. Public signup or membership does not create an exemption from law or eliminate anyone’s statutory rights. Public profiles and public content are not confidential private forums.

2. Your content and permissions

You retain ownership of content you submit. You are responsible for your uploads, links, messages, and other activity. You must own the content or hold the rights and permissions needed to share it and permit its intended use. Do not infringe copyright, trademarks, privacy, publicity, or other rights.

You grant us a non-exclusive, worldwide, royalty-free license to store, reproduce, format, transmit, display, and distribute your content as reasonably necessary to operate, secure, and provide the Service according to its sharing features and your visibility choices. This includes using infrastructure providers to host and deliver it. This license does not transfer ownership or authorize unrelated advertising use. It ends when the relevant content is removed from our systems, except for necessary backups, legal preservation, and copies others lawfully retained or shared.

Public content may be accessed and copied by others. Sharing a link or saving a Pin does not grant rights to download, redistribute, or stream copyrighted material without permission. External providers may impose additional restrictions.

3. Prohibited content and conduct

Do not upload, request, promote, or distribute child sexual abuse material, child exploitation, trafficking, non-consensual intimate imagery, or other illegal content. We have zero tolerance for child exploitation. When applicable reporting laws require it, we will report apparent violations to NCMEC’s CyberTipline and preserve relevant records. We may restrict access, remove content, suspend accounts, and cooperate with lawful authorities. Reporting and preservation will follow applicable law, including 18 U.S.C. § 2258A where applicable.

Also prohibited are credible threats, targeted harassment, hateful abuse targeting protected characteristics, encouragement of violence, fraud, malware, spam, unauthorized access, and attempts to evade moderation or account restrictions. Do not post gratuitous graphic violence or sexually explicit pornography.

For other lawful mature or sensitive material, use an effective content warning and any available age or audience restrictions before sharing. A tag does not authorize prohibited content. If the Service does not offer suitable labeling or audience controls for the material, do not publish it. “R-rated” or “18+” labels do not constitute a formal film rating or verified age gate.

4. Moderation and reports

We may review reports, restrict visibility, remove content, or suspend or terminate access when reasonably necessary to enforce these Terms, protect users, or comply with law. We do not promise continuous monitoring or that all harmful content will be detected. Use the available report action or email help@heal.earth with the content link and a description. Do not email illegal imagery. If you believe an action was mistaken, contact us to request review.

5. Copyright complaints

Send copyright complaints to help@heal.earth. Identify the copyrighted work and the allegedly infringing material with enough detail to locate it, provide your contact information and signature, and include statements that you have a good-faith belief the use is unauthorized and that the notice is accurate and, under penalty of perjury, you are authorized to act for the rights holder. We may request additional information and process applicable counter-notices. We may terminate repeat infringers in appropriate circumstances.

6. Roku, media, and third-party services

The Roku client requires a Heal Earth Club account and supports compatible media you are permitted to access. Playback depends on file formats, network availability, device capabilities, and third-party source availability. Links to Spotify, YouTube, or other services do not guarantee playback or grant access to those services. We are not affiliated with or endorsed by Google, Roku, Pinterest, or third-party content providers.

7. AI and beta features

AI output may be inaccurate or inappropriate. Review it before use; do not rely on it for professional advice or assume it has performed actions in your account. Do not submit sensitive information you lack permission to process. Beta features may change, contain errors, lose data, or become unavailable. Maintain your own copies of important content.

8. Fees and changes to the Service

The current beta is provided without a Club membership fee. Any future paid offering will disclose its price and applicable payment, renewal, and cancellation terms before purchase. We may modify or discontinue features, subject to applicable notice requirements and any separate paid agreement. These Terms do not impose undisclosed dues or waive mandatory refund rights.

9. Disclaimers and liability

To the extent permitted by law, the Service is provided “as is” and “as available,” without warranties of uninterrupted operation, fitness for a particular purpose, or accuracy of user or third-party content. To the extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive losses arising from use of the Service. These provisions do not exclude liability or remedies that cannot lawfully be excluded, including applicable consumer protections.

To the extent permitted by law, you agree to indemnify Heal Earth Club LLC for third-party claims and reasonable costs caused by your unlawful content or material violation of these Terms. This does not require indemnification for our own unlawful conduct or override non-waivable rights. We will provide notice of a claim and a reasonable opportunity to participate in its defense.

10. Ending use and updating these Terms

You may stop using the Service at any time. Remove supported content in the app, revoke connected devices in security settings, or request account deletion at help@heal.earth. Retention is described in the Privacy Policy. Provisions that reasonably need to survive termination, such as ownership, legal preservation, and applicable liability provisions, survive.

We may revise these Terms and update the date above. We will provide additional notice or obtain agreement where required by law. If you do not accept revised Terms, stop using the Service. Mandatory laws and legal rights continue to apply; no private-membership language displaces them.

11. Membership rules and acceptance

Membership is a contractual relationship with Heal Earth Club LLC. It does not create ownership, voting rights, a partnership, fiduciary duties, employment, or authority to act for the Club. Any separate association bylaws or membership benefits apply only if expressly provided and accepted. We do not claim governmental immunity or exemption from laws because members use the Service.

Members must affirm that they are 18 or older and accept the current Terms before continuing through the web app. We retain the account ID, version, acceptance time, and age attestation as evidence of that agreement. An age declaration is not verified proof of age. Installed TV clients may continue existing sessions; membership acceptance takes place in the web account. Material changes that require renewed acceptance will be presented for acceptance.

Do not disclose another person’s nonpublic personal information without lawful authority, scrape or harvest member information, evade bans, submit abusive reports, or misrepresent an affiliation with the Club. Public content remains public; a membership relationship does not make public postings confidential. See our reporting, removal, and appeal procedures.

12. Streaming permissions

For music, videos, artwork, and other media, your permissions must cover the uses you enable, including hosting, reproduction, sharing, and streaming or public performance where applicable. Musical compositions and sound recordings can have separate rights holders. Purchasing a recording or subscribing to another service does not itself authorize uploading or retransmitting it here. No license to third-party catalogs is implied. Your warranties do not remove our independent legal responsibilities.

13. Disputes and general provisions

Texas law governs these Terms, without regard to its conflict-of-laws rules, except where federal law or mandatory consumer or other protections require otherwise. Subject to applicable jurisdiction and mandatory venue rules, disputes will be heard in state or federal courts of competent jurisdiction in Texas. Nothing limits a non-waivable right to bring a claim in another legally required forum.

Before filing a non-urgent claim, we ask you to contact help@heal.earth and allow 30 days to seek an informal resolution. This request is not a mandatory arbitration agreement, does not prevent urgent relief or small-claims proceedings, and does not shorten or suspend statutory deadlines.

To the extent permitted by law, our aggregate liability arising from the Service is limited to the greater of US $100 or the amounts you paid us for the Service during the 12 months before the event giving rise to the claim. This cap does not apply to fraud, intentional misconduct, gross negligence, or liability that cannot lawfully be limited. It does not reduce mandatory consumer remedies.

If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. Failure to enforce a provision is not a waiver. These Terms and expressly incorporated policies form the agreement concerning the Service, subject to any separately executed agreement. No third-party beneficiary rights are intended unless required by law. We may assign the agreement in a lawful business transfer while preserving applicable privacy obligations; material changes remain subject to applicable notice or consent requirements.

Ordinary service notices may be delivered through the app or the email associated with your account. Formal legal process must comply with applicable service rules; an ordinary support email does not waive those rules. We are not responsible for delays caused by events reasonably outside our control, subject to duties and remedies that cannot legally be excluded.

14. Safety procedures

The Safety and Content Removal page describes urgent intimate-image removal requests, child-safety reporting, and moderation appeals. Nonmembers may use these channels.
